Website use and general service terms.

1. Acceptance
By accessing this website or requesting/using services from SyrkIT, you agree to be bound by these Terms & Conditions. If we have a signed agreement, statement of work, or written special terms, those terms will apply to the extent they differ.
2. Services
SyrkIT provides digital services which may include web hosting, email hosting, Microsoft 365 configuration and migrations, web design/development, branding/print coordination, and related technical support.
3. Quotes, Billing, and Payment
- Quotes/estimates are time-limited unless we state otherwise in writing.
- Subscription services are billed monthly or annually depending on the selected package.
- If payment is overdue, we may pause services (where practical) to limit risk and comply with supplier requirements.
4. Client Responsibilities
- Provide accurate information, access, and approvals reasonably required to deliver the work.
- Keep credentials secure and notify SyrkIT promptly if you suspect unauthorised access.
- Only provide content you are permitted to use (logos, text, images, data) and indemnify SyrkIT against third-party claims arising from unlawfully supplied content.
5. Acceptable Use
You may not use SyrkIT systems or services for unlawful activity, malware, spam, phishing, unauthorised access, or rights-infringing content. Our Acceptable Use Policy forms part of these terms.
6. Intellectual Property
Each party retains ownership of its pre-existing intellectual property. Unless we agree otherwise in writing, SyrkIT retains ownership of reusable templates, tooling, and internal methods. Upon full payment, deliverables created specifically for you are licensed for their intended business use.
7. Availability and Maintenance
We aim for dependable service, but uninterrupted availability is not guaranteed. Downtime may occur due to maintenance, third-party outages, or events beyond reasonable control. Where possible, planned maintenance will be scheduled and communicated.
8. Limitation of Liability
To the fullest extent permitted by law, SyrkIT is not liable for indirect or consequential damages (including loss of profit, revenue, or data). SyrkIT’s direct liability for any claim is limited to the fees paid to SyrkIT for the service that gave rise to the claim, unless the law requires otherwise. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited under applicable South African, United States, or Virginia law.
9. Privacy and Data Protection
Personal information is processed in line with our Privacy Policy. SyrkIT aims to comply with applicable privacy and data protection requirements, including POPIA in South Africa and, where applicable to a particular customer, transaction, or processing activity, relevant United States federal and state law, including Virginia law.
10. Termination
Services may be cancelled or terminated subject to notice periods, outstanding balances, and upstream/supplier commitments. Our Cancellation Procedure forms part of these terms.
11. Governing Law
If your contract, order, or services are principally supplied in South Africa, these terms are governed by the laws of the Republic of South Africa.
If your contract, order, or services are principally supplied through SyrkIT’s United States operations based in Virginia, these terms are governed by the laws of the Commonwealth of Virginia, excluding conflict-of-law rules.
Mandatory, non-waivable consumer protection, privacy, and data protection law that applies to a specific customer, service, or processing activity will continue to apply despite the governing-law rules above.
12. Mandatory Consumer Rights
Nothing in these terms is intended to waive rights or remedies that cannot lawfully be waived under applicable law, including mandatory consumer protection and privacy rights.
